ARTIST DISTRIBUTION & CONTENT SUBMISSION AGREEMENT

This Artist Distribution & Content Submission Agreement (“Agreement”) is entered into by and between:

Spotivik.com (“Spotivik”, “Platform”, “we”, “our”, or “us”), a digital music streaming and promotional platform operating in the Federal Republic of Nigeria,

AND

Artist Name: __________________________

(“Artist”, “you”, or “your”).

By submitting music or related content to Spotivik.com, you agree to be legally bound by the terms of this Agreement.

1. GRANT OF RIGHTS (NON-EXCLUSIVE LICENSE)

1.1 License Grant
The Artist hereby grants to Spotivik a non-exclusive, worldwide, royalty-free license to:

Host, reproduce, stream, publicly perform, communicate to the public, display, distribute, and promote the Artist’s submitted music recordings, artwork, metadata, and related materials (“Content”) on Spotivik.com and affiliated digital channels.
Use excerpts of the Content for promotional and marketing purposes, including social media, newsletters, advertisements, and platform promotions.

1.2 Ownership Retained by Artist
The Artist retains 100% ownership, copyright, and all intellectual property rights in and to the submitted Content. Nothing in this Agreement transfers ownership of the Content to Spotivik.

1.3 No Exclusivity
This Agreement does not restrict the Artist from distributing, licensing, or promoting their Content on other platforms.

2. ARTIST WARRANTIES AND REPRESENTATIONS

The Artist represents and warrants that:

2.1 Original Ownership
The Content submitted is original to the Artist, and the Artist is the sole owner of all rights in the Content or has obtained all necessary licenses, permissions, and clearances.

2.2 No Unauthorized Sampling or Infringement
The Content does not:

Contain unauthorized samples,
Include stolen or copied material,
Infringe upon any copyright, trademark, moral right, neighboring right, or other intellectual property right,
Violate any applicable law.

2.3 Third-Party Permissions
Where collaborators, producers, songwriters, or featured artists are involved, the Artist confirms that all contributors have granted written permission for distribution via Spotivik.

2.4 Indemnification
The Artist agrees to indemnify and hold harmless Spotivik against any claims, damages, losses, or legal expenses arising from breach of these warranties.

3. MONETIZATION AND ADVERTISING

3.1 Advertising Rights
The Artist acknowledges and agrees that Spotivik has the right to display advertisements, including but not limited to contextual and programmatic advertisements (such as Google AdSense), on pages where the Artist’s Content appears.

3.2 Purpose of Advertising
Such advertisements are used to cover:

Server hosting costs
Website maintenance
Platform development
Content moderation
Operational expenses

3.3 Revenue Allocation
Unless otherwise agreed in writing, submission of Content does not entitle the Artist to advertising revenue generated from display advertisements on the platform.

3.4 Compliance with Advertising Policies
The Artist agrees that submitted Content must comply with applicable advertising network policies, including prohibitions against misleading, plagiarized, or infringing material. Spotivik reserves the right to reject or remove any Content that may jeopardize its advertising relationships.

4. DMCA & NOTICE AND TAKEDOWN POLICY

4.1 Copyright Respect
Spotivik respects intellectual property rights in accordance with the Nigerian Copyright Act and applicable international copyright principles.

4.2 Takedown Requests by Artist
An Artist may request removal of their Content at any time by submitting a written request via:

The request must include:

Full name and stage name
Title of the work
URL link to the Content
Reason for removal
Verification of identity

Spotivik will process legitimate removal requests within a reasonable timeframe.

4.3 Third-Party Infringement Claims
If Spotivik receives a copyright infringement complaint, we may:

Temporarily disable access to the Content,
Notify the Artist,
Request proof of ownership or authorization.

Failure to provide adequate proof may result in permanent removal.

4.4 Repeat Infringers
Spotivik reserves the right to terminate accounts of users who repeatedly submit infringing Content.

5. CONTENT STANDARDS

The Artist agrees not to submit Content that:

Is plagiarized or AI-generated without proper rights,
Contains unlawful, defamatory, obscene, or fraudulent material,
Promotes hate speech or violence,
Violates Nigerian law or international digital content standards.

Spotivik reserves editorial discretion to refuse or remove Content that does not meet platform standards.

6. TERM AND TERMINATION

6.1 Term
This Agreement remains in effect for as long as the Content is hosted on Spotivik.

6.2 Voluntary Removal
The Artist may request removal at any time under Section 4.

6.3 Platform Termination
Spotivik may terminate this Agreement or remove Content if:

The Artist breaches any provision,
The Content exposes the platform to legal risk,
Required by law or regulatory authority.

7. NO EMPLOYMENT OR PARTNERSHIP

Nothing in this Agreement shall be construed to create:

An employment relationship,
A joint venture,
A legal partnership,
An agency relationship.

The Artist is an independent content provider.

8. LIMITATION OF LIABILITY

Spotivik shall not be liable for:

Indirect or consequential damages,
Loss of revenue or reputation,
Service interruptions beyond reasonable control.

Hosting is provided on an “as available” basis without guarantees of uninterrupted access.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with:

The laws of the Federal Republic of Nigeria, and
The provisions of the Nigerian Copyright Act (as amended).

Any disputes arising under this Agreement shall be subject to the jurisdiction of competent courts in Nigeria.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements relating to the subject matter herein.

Any amendments must be in writing and published on Spotivik.com.
